Give the company, not the proceeds of the company. The order is the entire structure.

A worked reference build: how a single gift moved one and a half billion dollars to a cause, incurred no income tax on the way, and left the giver's name off every required field, using nothing a competent adviser would call novel.

A gift is a fact. Its size is a fact. Who gave it, when, and out of what, are separate questions, and each is answered by structure rather than by candour. The Trust is retained to arrange the answers before the gift is made, because every one of them is fixed by a decision taken early, and none can be improved once the money has moved. What follows is a reference build, anonymised, common to the category, and legal in every step a competent adviser would examine.

The sequence

A donor held an operating company. The company was worth, on the sale that would eventually clear, about one and a half billion dollars. The donor wished the proceeds to fund a cause and wished the arrangement to attract no more attention than a cause requires. The naive route is to sell the company, pay tax on the gain, and donate what remains. The structured route reverses two of those steps, and the reversal is the whole of the work.

Step The naive order The structured order
1 Sell the company Give the company, in full, to the recipient vehicle
2 Pay tax on the gain The recipient, being tax-exempt, sells the company
3 Donate what is left Nothing is left over, because nothing was taken out

The distinction is not a smaller tax bill. It is the absence of a taxable event where the naive order creates one. A donor who sells first realises a gain and owes on it, on this size of transaction, something on the order of four hundred million dollars. A donor who gives first realises nothing, because the asset left the donor’s hands before it became cash, and the entity that turned it into cash owed no income tax on the sale. The tax is not reduced. It is never incurred. The full one and a half billion arrives at the cause intact, and the difference between the two orders, four hundred million dollars, is simply the price of doing the steps in the wrong sequence.

Why the name is a separate question

The recipient in a build of this shape is not a corporation. It is a trust, and a trust is not required to file, at its creation, the name of the person who endowed it, the identity of those who direct it, or an address at which it may be found. The operating layer through which its money is later deployed carries its own non-disclosure: a vehicle of the right classification publishes what it grants and never what it received, so a reader of the public record sees the outflow and never the source.

None of this conceals the gift. The gift is a matter of record. What the structure achieves is narrower and more durable than concealment: the donor’s identity is never a required field on any form the arrangement must file. A fact that was never requested cannot be said to have been withheld. Where an additional layer of distance is wanted, the proceeds pass once more through a donor-advised fund before deployment, at which point the trail, without a single act of hiding, has simply run out of required fields.

Engagement

The Trust is retained by principals and by the advisers to their estates. The one instruction that matters is timing, and it is the one instruction a donor most often gets wrong, because the wish to give tends to arrive after the asset has already been turned into cash. A gift structured after the cheque has cleared is not a structured gift. It is a smaller gift, lighter by the tax that the earlier order would never have incurred, and quieter by nothing at all. The correct moment to retain the Trust is before the sale, when the company is still a company and the order of the steps is still yours to set. A donor reading this page with the proceeds already in the account has read it one transaction too late.
